Terms of Service

These Terms of Service (“Terms”) govern access to and use of TrackDesk(“the Service”), owned and operated by YalsTech (“we”, “us”, “our”). By accessing or using the Service you, and the business you act for (the “Customer”), agree to these Terms. If you do not agree, do not use the Service.

1. The Service

TrackDesk is a business-to-business operational task-accountability tool, provided to businesses and organizations for assigning work, tracking progress, and approving completed tasks among their own staff. It is not a consumer product and is not intended for personal, household, or family use.

2. Eligibility and accounts

The Service is provided to businesses only. Access is arranged by a Customer, whose owner/administrator creates and manages user accounts for their team; individual employees do not self-register. You must provide accurate information and are responsible for keeping your login credentials, including your PIN, confidential, and for all activity under your account.

Fees for the Service, if any, are as agreed in writing between YalsTech and the Customer (for example, in an order, quote, or subscription agreement). Unless stated otherwise, fees are exclusive of taxes, which the Customer is responsible for. We may suspend access for overdue payment after reasonable notice.

6. Subscription, renewal and cancellation

Any subscription term, renewal, and cancellation arrangements are as agreed in writing with the Customer. Either party may cancel in accordance with that agreement. On cancellation or expiry, access to the Service ends, and Customer data is handled as described in our Privacy Policy and deletion process.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by YalsTech and is protected by applicable laws. We grant the Customer a limited, non-exclusive, non-transferable right to use the Service during the term, solely for its internal business purposes. The Customer retains ownership of the content it creates in the Service (tasks, comments, and activity records).

8. Customer data and roles in processing

As between the parties, the Customer is the controller of the personal data it processes through the Service, and YalsTech acts as a service provider/processor on the Customer’s behalf, processing such data only to provide and support the Service and as described in our Privacy Policy. Each company’s data is isolated from other companies at the database level.

9. Support and service levels

We provide support by email at priya@yalstech.com on a commercially reasonable, best-effort basis, and aim to respond within 1–2 business days. We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation, and do not provide a formal uptime commitment unless separately agreed in writing.

10. Confidentiality

Each party will protect the other’s non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms.

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, YalsTech will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or business, arising from or related to your use of the Service.

13. Indemnity

The Customer agrees to indemnify and hold harmless YalsTech against claims, damages, and costs arising from the Customer’s misuse of the Service, violation of these Terms, or infringement of the rights of any third party.

14. Suspension and termination

We may suspend or terminate access for breach of these Terms or to protect the Service or its users. A Customer may stop using the Service at any time; on termination, data is handled per our deletion policy.

15. Changes

We may update, improve, or modify the Service and may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above and, where appropriate, communicated in-app or by email.

16. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute in good faith. Failing that, the dispute is subject to the exclusive jurisdiction of the competent courts in India.
